To add to the checklist:
a) Make sure your serial ports are enabled so the
computer can use them. If they're on the motherboard,
check in the "setup" utility. Be careful, it's
possible to screw your system up badly in there.

b) Rather than trying to connect at "serial" speed
(38400), try to connect at 9600. Every once in a
while NCU won't connect at 57600 (installed a speed up
package) and has to connect at 9600 first.
